1. XIF, Inc., a Maryland corporation ("Licensor") of Potomac, Maryland and the owner and operator of FlashSound.com, hereby grants to you, the non-exclusive, non-transferable right, license, privilege, and authority to use the recording(s) you purchased, (the "Recording") for the sole, limited and restricted purpose set forth in paragraph 9 below.

2. This is a license to use the Recording(s) selected and the public performance of the production(s) is subject to the rights, if any, of the various composers, writers, copyright proprietors and/or performing rights societies (e.g. ASCAP, BMI) or other owners of the performing rights in the music to collect performing fees thereof.

3. In consideration of the rights granted by Licensor to Licensee hereunder, for the territory of The United States of America (USA), its territories and possessions, Licensee agrees to the terms of this agreement.

4. Except with respect to the music embodied in production(s) produced by Licensee pursuant to the license granted hereunder, legal title to the Recording(s) selected provided to Licensee hereunder shall at all times remain in Licensor.

5. This agreement does not grant any rights for resale to the public or duplication of any music tracks for usage by other than Licensee and Licensor reserves all rights not specifically granted by Licensor hereunder.

6. The Licensor makes no warranty or representation, express or implied, except that the Licensor warrants that it has the right to grant such recording right, such license being granted without recourse for any other cause or in any other event whatsoever; the total liability of the Licensor under this Agreement being limited in any event to that part of the consideration paid hereunder by the Licensee to the Licensor for such license. Licensor agrees that this license is granted to Licensee without any other warranty or recourse.

7. Any controversy arising out of or relating to this Agreement shall be settled by arbitration in Montgomery County, Maryland, in accordance with the Rules, then obtaining, of the American Arbitration Association. Any court of competent jurisdiction may enter judgment upon the award rendered pursuant to such Rules. Licensor shall retain all rights to provisional remedies, which it would have at law, notwithstanding the existence of this agreement to arbitrate. This Agreement shall be deemed to have been made in the State of Maryland and the laws of Maryland shall govern its validity, construction, performance, breach, and operation.

8. The Music is owned and/or licensed by XIF, Inc. and is protected by United States Copyright Law and International Treaty provisions. Any breach of this agreement is in direct violation of said copyright law. The Licensee intends this music solely for the uses for which Licensee has purchased a License.

9. This is a License agreement for SINGLE USE. Licensee may use the Recording(s) licensed in a single Flash or New Media presentation that is accessible via the Internet or CD-ROM, or a single Broadcast or Theatrical presentation. Use of any FlashSound music for multiple Flash, CD-ROM, Broadcast, or Theatrical presentations, as well as the distribution of more than one (1) CD-ROM of the same presentation is strictly prohibited without additional licenses. Quantity discounts may apply. Please contact FlashSound for multiple distribution license rates.

10. Violation of any of the terms of this License shall result in an immediate termination of the License(s) purchased by Licensee and Licensee shall have no right to refund of any License Fee(s) paid.
